Stash It Forward Program
Solicitation Agreement
Effective as of September 7, 2021 (the “Effective Date”)
The Stash It Forward Program (the “Program”) is a promotional referral program offered by Stash Investments LLC (“Stash”) where existing Stash customers may be rewarded for referring their friends to Stash. The Program is subject to the terms and conditions stated herein (the “Program Terms”) as well as the specific terms that correspond with the invitation and referral link you use to invite your friends to participate hereunder. To qualify for the cash bonuses or stock rewards described below, your referee friend must open a Qualifying New Personal Portfolio (as defined below) or a Qualifying New Banking Account (as defined below) in accordance with these Program Terms. By choosing to participate in the Program, you are accepting and agreeing to these Program Terms. These Program Terms form an agreement between you and Stash with respect to the Program. You should read these Program Terms carefully.
Eligibility
To be eligible to participate in this Program and receive cash bonuses or stock rewards, you must satisfy the following requirements:
(i) you must have an individual taxable brokerage account advised by Stash that is in good standing (a “Personal Portfolio”),
(ii) you must send a designated referral invitation to a referee friend in accordance with these Program Terms, and
(iii) your referee friend must complete the designated registration process for opening a Qualifying New Personal Portfolio or a Qualifying New Banking Account by interacting with the link included in your referral invitation.
To constitute a “Qualifying New Personal Portfolio” hereunder, your referee friend must (i) complete the designated registration process for opening a Personal Portfolio by using the special designated referral link included in your invitation, (ii) link a funding source (e.g. an external bank account) to their Personal Portfolio, and (iii) initiate and complete a minimum deposit of at least one cent ($0.01) from their funding source into their Personal Portfolio.
To constitute a “Qualifying New Banking Account” hereunder, your referee friend must (i) complete the designated registration process for opening a Stash banking account powered by Green Dot Bank, Member FDIC that is in good standing (a “Stash Banking account”) by using the special designated referral link included in your invitation, (ii) link a funding source (e.g. an external bank account) to their Stash Banking account, and (iii) initiate and complete a minimum deposit of at least one cent ($0.01) from their funding source into their Stash Banking account.
For the avoidance of doubt, in the event you or your referee friend only complete the designated registration process to receive the Financial Counseling Service (if applicable, as such term is defined in your Advisory Agreement) from Stash, or you or your referee friend do not otherwise complete the designated registration process for opening a Personal Portfolio or a Stash Banking account (as applicable) in accordance with these Program Terms, you or your referee friend will not be eligible to participate in this Promotion. For purposes of this program, a deposit of funds shall be considered complete once the transaction has fully settled in an account.
Stash and/or Green Dot Bank reserve the right to determine in our/its sole or joint discretion whether an account is closed and/or in good standing. An account in good standing for purposes of this Program is an account for which all required account opening documentation has been completed and verified, and is not locked, or restricted, or otherwise flagged in any way. If either account is closed or not in good standing for any reason at any time, any cash bonuses or stock rewards awarded hereunder will be forfeited.
A Stash Banking account opened hereunder is subject to approval by Green Dot Bank, Member FDIC. The applicant must pass Green Dot Bank’s customer identification procedures and otherwise be approved by Green Dot Bank for a Stash Banking account, and the applicant must agree to electronic delivery of disclosures, Green Dot Bank’s deposit account agreement, and any other account opening documentation required for opening a Stash Banking account. There is no guarantee that an applicant will be approved to open a Stash Banking account.
Cash Bonuses & Stock Rewards
Subject to these Program Terms, after your referee friend opens either a Qualifying New Personal Portfolio or a Qualifying New Banking Account, whichever occurs first, Stash will compensate you and your referee friend in the form of either a cash bonus or a stock reward (as described below). At the time you send a designated referral invitation to any your referee friends, you and your referee friend will receive a unique offer message directly from Stash that will include the type of compensation (e.g. a cash bonus or a stock reward) and the exact amount of such compensation that you and your referee friend will be eligible to receive. The maximum amount of compensation that you may be rewarded under this Program, in the aggregate, either in the form of cash bonuses or stock rewards is $1,000 per calendar year, which shall be calculated by Stash in its sole discretion.
Cash Bonuses
If you and your referee friend are offered a cash bonus from Stash, then upon your referee friend opening either a Qualifying New Personal Portfolio or a Qualifying New Banking Account, whichever occurs first:
● Stash will deposit between $5 and $50 into your Personal Portfolio, and
● Stash will deposit between $5 and $50 into your referee friend’s Qualifying New Personal Portfolio.
The actual amount of each cash bonus will vary within the thresholds noted above and will be specified in an offer message from Stash to you and your referee friend.
For the avoidance of doubt, in the event you and your referee friend are offered a cash bonus and your referee friend opens up both a Qualifying New Personal Portfolio and a Qualifying New Banking Account in accordance with these Program Terms, Stash will only deposit one cash reward into your Personal Portfolio, and only one cash reward into your referee friend’s Qualifying New Personal Portfolio, as specified in the offer.
Any cash bonus deposited by Stash hereunder is a fixed cash value and does not constitute stock or any other security, nor is it a recommendation to buy any specific stock or other security. The value of any cash bonus awarded hereunder may be taxable income to you. You are responsible for any federal or state taxes resulting from receipt of a cash bonus. Please consult your tax advisor if you have questions about the tax treatment of a cash bonus. Each cash bonus must remain in your Personal Portfolio for ninety (90) days beginning from the date the cash bonus is deposited in such account and for the entirety of the 90-day period, which shall be determined by Stash in its sole discretion.
Stock Rewards
The term “stock reward” hereunder means a fractional or whole share of stock of a certain publicly-traded company and/or exchange-traded fund (“ETF”) that Stash offers to you and your referee friend as a form of compensation under this Program.
If you and your referee friend are offered a stock reward, then upon your referee friend opening either a Qualifying New Personal Portfolio or a Qualifying New Banking Account, whichever occurs first, the following will apply:
● Each stock reward will be limited to a maximum value of $20;
● You must claim your stock reward in order for it to be credited to your Personal Portfolio or you will receive a $20 cash bonus, as further described below;
● Your offer will include the specific publicly-traded company and/or ETF that will comprise your stock reward.
In order to accept a stock reward hereunder, you must claim your stock reward by completing the interactive instructions on the Stash Platform (as defined below) within seven (7) calendar days from the date that your referee friend opens either a Qualifying New Personal Portfolio or a Qualifying New Banking Account, whichever occurs first (“Offer Period”). If you fail to claim a stock reward during any Offer Period, you will forfeit that specific stock reward and Stash will instead deposit a $20 cash bonus into your Personal Portfolio. Stash reserves the right to determine whether you’ve claimed a stock reward hereunder, and may reward any such replacement cash bonuses in its sole discretion. Any cash bonuses that replace a stock reward remain subject to these Program Terms.
Stash will determine the list of such publicly-traded companies and/or ETFs that may comprise a stock reward in its sole discretion from all publicly-traded securities available for purchase on the Stash Platform, and may change the publicly-traded companies and/or ETFs that may comprise a stock reward hereunder from time-to-time in its sole discretion without notice to you. For the avoidance of doubt, in the event you and your referee friend are offered a stock reward hereunder, and your referee friend opens up both a Qualifying New Personal Portfolio and a Qualifying New Banking Account in accordance with these Program Terms, you and your referee friend will each only be eligible to claim one (1) stock reward (or cash bonus, as applicable), as specified in your offer.
Crediting a Stock Reward to Your Personal Portfolio
By accepting an offer to earn a stock reward hereunder, you are making a decision to invest in that specific underlying stock and you agree that it is your responsibility to review and carefully consider the stock, including the information available to you through the Stash applications and website (collectively, the “Stash Platform”) about such stock, before choosing to accept a stock reward hereunder. Neither this Program itself, nor the stock available to be earned through it, is a recommendation to buy any such specific stock. The value of any stock reward you receive may fluctuate over time due to a variety of factors. Please refer to the Stash Platform for a list of all investments that are available for purchase. Stash reserves the right to change the list of investments available on the Stash Platform at any time and from time to time in its sole discretion.
By accepting a stock reward hereunder, you are agreeing to initiate a “buy” order for such stock in the amount of your stock reward. To deliver a stock reward to your Personal Portfolio, Stash will deposit the monetary amount of your stock reward into your Personal Portfolio and automatically initiate a “buy” order for such stock in the amount of the stock reward. By accepting an offer to earn a stock reward, you are authorizing Stash to direct, and Stash Capital LLC to execute, orders to buy the specific stock offered to you. Any stock reward may take up to four (4) business days to be reflected in your Personal Portfolio. For the avoidance of doubt, you have the ability to decline the offer to earn any stock reward and receive a cash bonus instead, or the ability to subsequently sell any stock reward earned under this Program after you receive it in your Personal Portfolio, provided, however, that in each such case, the replacement cash bonus or the sale proceeds must remain in your Personal Portfolio for ninety (90) days beginning from the date the cash bonus or the stock reward is initially deposited in your Personal Portfolio and for the entirety of the 90-day period, which shall be determined by Stash in its sole discretion.
By participating in this Program, you grant Stash the limited discretionary authority required to complete the securities transaction necessary to complete the stock reward. Specifically, Stash will have discretion over the cash credited to your Personal Portfolio pursuant to these Program Terms only to the limited extent necessary to fulfill your stock reward. This discretionary authority is in addition to the limited discretionary authority you have already granted to Stash pursuant to your Advisory Agreement, as amended, that you agreed to when you opened your Personal Portfolio. Accordingly, your acceptance of these Program Terms and participation in this Program expressly amends and modifies your Advisory Agreement as of the date you accept these Program Terms, and you are hereby notified of such amendment and modification by these Program Terms.
